Terms of Service

This document is written in English, which is its official and governing version. Any translation is provided for convenience only; in case of any conflict, the English version prevails.
These Terms of Service ("Terms") are a binding agreement between you and [LEGAL ENTITY NAME — e.g. Manual Quest Ltda., CNPJ 00.000.000/0001-00] ("Manual Quest", "we", "us", or "our") and govern your access to and use of the Manual Quest websites, applications, APIs, and related services (collectively, the "Service").
By creating an account, clicking "I agree", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
1. Eligibility and Acceptance
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a contract to use the Service. The Service is not directed to children.
If you use the Service on behalf of a company or other legal entity (an "Organization"), you represent that you are authorized to bind that entity, and "you" includes that entity. The person who creates an Organization is its initial owner and is responsible for managing roles and members.
2. The Service
Manual Quest lets you upload documents and other materials and uses artificial intelligence to build a searchable knowledge base, generate grounded answers, optional voice responses, and other features so that you and the users you authorize can ask questions about your content.
We may add, change, suspend, or discontinue any part of the Service at any time. Some features may be offered as beta or experimental and may be modified or withdrawn without notice.
3. Accounts and Organizations
You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential. You are responsible for all activity that occurs under your account and within your Organization.
Organization owners and admins control membership, roles, published content, and settings, and may access, manage, or remove content and members within their Organization. You must notify us promptly of any unauthorized use of your account.
4. Plans, Billing, and Payments
Paid plans are billed in advance on a recurring (e.g., monthly or annual) basis through our third-party payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method for the applicable fees and taxes until you cancel.
Subscriptions renew automatically for the same period unless you cancel before the end of the current term. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then.
Fees are stated exclusive of taxes unless otherwise indicated; you are responsible for applicable taxes. We may change prices or plan features on prospective notice; changes apply to the next renewal.
Except where required by applicable consumer-protection law (including the Brazilian Code of Consumer Defense), payments are non-refundable and there are no refunds or credits for partial periods, unused features, or downgrades.
5. Your Content and License to Us
"User Content" means any documents, files, images, links, text, prompts, and other materials you or your Organization upload, submit, or generate through the Service. As between you and us, you retain all ownership rights in your User Content.
You grant Manual Quest a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, process, index, create embeddings from, display, and otherwise use your User Content solely to operate, provide, secure, and improve the Service and to make it available to the users you authorize, including via any public manual you choose to publish.
You represent and warrant that you own or have all necessary rights, licenses, and permissions to your User Content and that it does not infringe or violate any third-party right or any law. You are solely responsible for your User Content and for the consequences of sharing or publishing it.
6. Published and Public Manuals
You decide whether and when to publish a manual. When you publish a manual, it becomes accessible to anyone who has the link, who may interact with it (including by chat or voice). Do not publish content you are not authorized to make public or that contains confidential or sensitive information you do not intend to disclose.
You are responsible for the content and conduct of any public agent you create and for ensuring its use complies with these Terms and applicable law.
7. Acceptable Use
You agree not to, and not to permit anyone to:
- use the Service for any unlawful, fraudulent, infringing, defamatory, or harmful purpose;
- upload or generate content that is illegal, infringes intellectual property or privacy rights, or contains malware;
- attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with or disrupt the Service's integrity or performance;
- reverse engineer, decompile, scrape, or attempt to extract source code or training data except to the extent this restriction is prohibited by law;
- use the Service to build a competing product, or resell or sublicense it without our written consent;
- exceed rate limits, circumvent usage restrictions, or impose an unreasonable load on our infrastructure;
- use the outputs of the Service in a manner that misleads others into believing automated content is human-generated where prohibited by law.
8. Artificial Intelligence — No Reliance
The Service uses AI models to generate answers, summaries, transcriptions, and voice. AI output can be inaccurate, incomplete, outdated, or otherwise wrong, even when grounded in your content. Output is provided for informational purposes only.
You must independently verify any output before relying on it. The Service does not provide legal, medical, financial, or other professional advice, and AI output is not a substitute for professional judgment. You are responsible for any decision or action taken based on the Service's output.
9. Third-Party Services
The Service relies on third-party providers (for example, payment processing, authentication, hosting, storage, and AI/voice providers). Your use of those features may be subject to the third parties' own terms and policies. We are not responsible for third-party services, and your dealings with them are at your own risk.
10. Intellectual Property
The Service, including its software, design, text, graphics, and trademarks (excluding User Content), is owned by Manual Quest or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
11. Privacy
Our collection and use of personal data is described in our Privacy Policy. By using the Service, you acknowledge that policy.
12. Suspension and Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access immediately, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure, or for prolonged inactivity or non-payment.
Upon termination, your right to use the Service ends. We may delete your User Content after a reasonable period, subject to legal retention requirements and our backup cycles. Sections that by their nature should survive termination will survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law).
13. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that output will be accurate or reliable.
Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under applicable law, including mandatory consumer-protection rights under the Brazilian Code of Consumer Defense.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Manual Quest and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, our total aggregate liability for all claims relating to the Service in any twelve-month period will not exceed the greater of (a) the amount you paid us for the Service during that period or (b) USD 100 (or its equivalent in local currency).
These limitations do not apply to liability that cannot be excluded or limited under applicable law (for example, fraud, willful misconduct, or mandatory consumer rights).
15. Indemnification
You agree to defend, indemnify, and hold harmless Manual Quest and its representatives from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Service, or your violation of these Terms or of any law or third-party right.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "last updated" date or by notifying you in-app or by email). Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
17. Governing Law and Venue
These Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-laws rules. Except where mandatory law (including consumer-protection law) provides otherwise, the courts of [City/State, Brazil] will have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or the Service. If you are a consumer, you may also bring proceedings in the courts of your domicile where the law so permits.
18. General
These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
